Terms of Service

Welcome to Litmus Science. These Terms of Service ("Terms") govern your access to and use of the Litmus platform, including our website, services, and marketplace. By using Litmus, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Litmus platform, you agree to comply with and be legally bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with these Terms, you may not use our services.

You must be at least 18 years old to use Litmus. By using our platform, you represent and warrant that you meet this age requirement.

2. Platform Overview

Litmus is a marketplace platform that connects individuals seeking to conduct scientific experiments ("Requesters") with qualified laboratory scientists who can perform those experiments ("Operators"). Litmus facilitates these transactions but is not directly involved in performing experiments.

3. Account Registration and Responsibilities

Account Creation

To use certain features of Litmus, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

Operator Requirements

To register as an Operator, you must additionally:

  • Have active access to an accredited research facility
  • Provide verified institutional affiliation documentation
  • Obtain and submit PI approval or facility agreement for external work
  • Demonstrate competency in your claimed techniques
  • Maintain all necessary licenses, permits, and authorizations
  • Comply with all institutional policies and safety regulations

4. Experiment Requests and Execution

For Requesters

When submitting experiment requests, you agree to:

  • Provide accurate, complete, and scientifically sound experimental protocols
  • Ensure your experiment complies with all applicable laws, regulations, and ethical guidelines
  • Not request experiments involving prohibited materials, dangerous procedures, or illegal activities
  • Provide clear acceptance criteria for evaluating results
  • Review and approve or dispute results within the specified timeframe
  • Pay the agreed-upon price upon successful completion

For Operators

When accepting and executing experiments, you agree to:

  • Only claim experiments within your area of competence and facility capabilities
  • Execute experiments according to the specified protocol and professional standards
  • Provide complete documentation including timestamped photos, videos, lab notes, and raw data
  • Comply with all safety regulations, institutional policies, and legal requirements
  • Maintain proper biosafety protocols (BSL-1/2 as applicable)
  • Report any deviations, issues, or concerns immediately
  • Deliver results within the agreed timeframe

5. Prohibited Activities

You may not use Litmus to:

  • Request or perform experiments involving BSL-3 or BSL-4 agents without explicit authorization
  • Conduct experiments for illegal purposes or that violate ethical guidelines
  • Request experiments involving human subjects, endangered species, or prohibited materials
  • Engage in fraud, misrepresentation, or deceptive practices
  • Interfere with the proper functioning of the platform
  • Violate intellectual property rights of others
  • Harass, threaten, or harm other users
  • Attempt to circumvent payment or escrow systems
  • Upload malicious code, viruses, or harmful content
  • Scrape, copy, or misuse platform data
  • Create fake accounts or misrepresent your identity or credentials

6. Payment and Escrow

Pricing

Requesters pay the price displayed for each experiment request. Prices may vary based on complexity, materials, equipment, and privacy tier selected.

Escrow System

When a Requester submits an experiment request and an Operator accepts:

  • Payment is charged to the Requester's payment method
  • Funds are held in escrow by Litmus until experiment completion
  • Upon approval of results, funds are released to the Operator (minus platform fees)
  • In case of disputes, funds remain in escrow until resolution

Platform Fees

Litmus charges a service fee on each transaction. Current fees will be disclosed before payment. We reserve the right to modify fees with reasonable notice.

Refunds

Refunds may be issued if:

  • The Operator fails to deliver results within the agreed timeframe without valid reason
  • Results do not meet the specified acceptance criteria
  • The experiment was not performed according to protocol
  • Documentation is incomplete or inadequate

Refund disputes are handled through our resolution process described below.

7. Intellectual Property

Platform Content

The Litmus platform, including its design, features, text, graphics, and software, is owned by Litmus Science and protected by copyright, trademark, and other intellectual property laws.

User Content

You retain ownership of any intellectual property in your experimental hypotheses, protocols, and results. However, by using Litmus with the default Open Access privacy tier, you grant Litmus and the public a perpetual, irrevocable, worldwide, royalty-free license to use, display, and distribute your experimental data for scientific and educational purposes.

For Delayed Release or Premium Private tiers, your data remains subject to the selected privacy restrictions as described in our Privacy Policy.

Operator Work Product

Results, data, and documentation produced by Operators in fulfilling experiment requests belong to the Requester, subject to the open science licensing terms described above.

8. Open Science and Data Sharing

Litmus operates with a commitment to open science. Unless you select a privacy tier:

  • All experiment requests, protocols, and results are publicly accessible
  • Data is made available under open licenses for scientific use
  • Results contribute to a public corpus of validated experimental data

By using the Open Access tier, you acknowledge and agree to public disclosure of your experimental data.

9. Dispute Resolution

Internal Resolution Process

If a dispute arises between Requester and Operator:

  • Either party may initiate a dispute within 7 days of result delivery
  • Litmus will review documentation, communications, and acceptance criteria
  • We may request additional information or clarification from both parties
  • Litmus will make a determination within 14 days
  • Funds in escrow will be distributed according to our determination

Arbitration

Any dispute not resolved through our internal process shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

10. Disclaimers and Limitations of Liability

Platform "As Is"

Litmus is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Results

We do not guarantee the scientific validity, accuracy, reproducibility, or usefulness of any experimental results obtained through the platform. Users are solely responsible for evaluating and interpreting experimental data.

Operator Verification

While we verify Operator credentials and institutional affiliations, we cannot guarantee their competence or the quality of their work. Requesters use Operators at their own risk.

Limitation of Liability

To the maximum extent permitted by law, Litmus Science, its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Service interruptions or security breaches
  • Errors or inaccuracies in experimental results
  • Actions or omissions of users

In no event shall our total liability exceed the amount paid by you to Litmus in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Litmus Science and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Experiments requested or performed by you
  • Any content or data you submit to the platform

12. Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Providing false information
  • Abuse of the platform or other users
  • Failure to pay fees owed

You may terminate your account at any time by contacting us. Upon termination:

  • Your access to the platform will cease
  • Outstanding transactions will be completed or refunded
  • Public experimental data will remain accessible per open science commitment

13. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or prominent notice on the platform at least 30 days before the effective date. Your continued use of Litmus after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal action related to these Terms must be brought in the state or federal courts located in Delaware.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Litmus regarding use of the platform.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
